  5. If your account was created via a third-party system or reseller, those terms may supplement these Terms. However, Spotlight’s Terms shall govern your relationship with us unless expressly stated otherwise.

Contributor Access and Responsibilities 
  1. You may grant other individuals (“Contributors”) permission to access your account or user platform with specific roles and permissions. By doing so, you authorize them to perform certain actions on your behalf, including accessing, modifying, or submitting data and accepting service terms.

  2. Contributors must also register their own user accounts in order to access the designated account. These Terms apply equally to Contributors.

  3. You are solely responsible for the actions of all Contributors under your account. This includes legal compliance, representations made, and data submitted. We strongly advise only providing access to individuals you trust.

  4. You agree that any action taken by a Contributor is deemed to be taken on your behalf, and you accept full responsibility for all consequences arising from such access.

  5. You may revoke access for a Contributor at any time through your account settings.

  6. Teams using a shared account should ensure internal policies are in place for managing access, user roles, and data oversight. Spotlight is not liable for internal disputes or misuse of contributor access among team members.

  7. If any disputes arise regarding account access or contributor activity, we reserve the right to suspend account access pending verification of rightful ownership and responsibility.

Interpretation of Data Input and Output
  1. All data submitted to our platform by you or on your behalf, including inputs, uploads, and third-party integrations, is subject to review and analysis using proprietary frameworks and AI technologies.

  2. Spotlight may interpret this data to provide insights, scoring, and strategy suggestions. These outputs represent our informed interpretations based on current industry standards, proprietary methods, and your data quality.

  3. You understand and agree that these interpretations are recommendations only and do not constitute legal, financial, or guaranteed business advice. All business decisions based on such interpretations are your sole responsibility.

  4. Spotlight is not responsible for any business losses, loss of revenue, misdirected marketing efforts, or incorrect assumptions based on the data you provide or how you apply our recommendations. You agree that accuracy, consistency, and timeliness of your input data are critical for receiving the best results.

  5. By providing a website or digital presence, you authorize Spotlight to scrape or analyze your publicly available digital content to generate context-aware recommendations or summaries.

Third-Party Integrations and API Access
  1. To enhance service functionality, Spotlight may allow users to connect third-party applications or APIs, including but not limited to social media platforms, accounting systems (e.g., QuickBooks), chatbot providers, analytics tools, and other marketing-related integrations.

  2. You acknowledge that Spotlight is not responsible for the accuracy, security, or functionality of third-party services. Any use of such integrations is at your own risk and subject to the terms and privacy policies of those third-party providers.

  3. By enabling API access, you grant Spotlight permission to access, store, and process relevant data solely for the purpose of delivering personalized marketing insights, recommendations, and service functionality.

  4. You may revoke access to third-party platforms at any time through your account settings or respective third-party platform dashboards.

  5. Spotlight disclaims any liability arising from errors, downtime, or inaccuracies in third-party service connections.

Refund and Billing Policy
  1. Purchases may be canceled within fourteen (14) calendar days of the transaction date for a full refund, provided that no downloadable materials have been accessed and no coaching sessions have been completed.

  2. After fourteen (14) days, all sales are final and non-refundable unless otherwise stated in writing by Spotlight. Refund requests made after this period will be evaluated solely at our discretion.

  3. Some services may be offered on a subscription basis and may automatically renew at the end of each billing cycle unless canceled prior to the renewal date. You are responsible for managing your subscription and for all applicable fees.

  4. Billing methods may include credit card, debit card, PayPal, Apple Pay, or other forms of electronic payment as offered on our site. Payment terms are subject to change with or without notice.

  5. Spotlight reserves the right to adjust pricing, billing intervals, or discontinue services at any time. Ongoing access to services may be conditioned on timely payment.

  6. Disputed charges must be reported within ten (10) days of the charge date. Failure to report within this window may forfeit your right to dispute.

Your Intellectual Property and AI Data Confidentiality
  1. As between you and Spotlight, you retain ownership of all intellectual property rights in your data, content, materials, and other submissions provided through or in connection with the services, including but not limited to logos, images, files, databases, text, designs, branding elements, and proprietary business information (“User Content”)

  2. By using our services, you grant Spotlight a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to access, use, store, reproduce, display, adapt, and process your User Content solely for the purpose of delivering, improving, and securing our services. This includes providing personalized outputs, making technical enhancements, performing backups, and leveraging software tools such as artificial intelligence and machine learning models.

  3. As part of our services, Spotlight may utilize AI tools such as large language models (LLMs)—including ChatGPT—to analyze or interpret your data and generate insights or outputs. These tools are directed and configured to treat your information as confidential and are not designed to share your data with other users or sessions outside of our organization. Your input and results are processed securely within Spotlight’s environment and are not retained, reused, or made public by the AI platform. While we use commercially reasonable efforts to ensure the privacy of your data, you acknowledge that no system is 100% infallible and that you use our services with this understanding.

  4. Spotlight will not claim ownership of your User Content. We respect your intellectual property and take commercially reasonable measures to protect your proprietary information using industry-standard security, encryption, and access controls. Your data will not be sold, shared, or used beyond the purposes described herein without your explicit consent or as required by law.

  5. By creating an account or submitting information through our platform, you acknowledge and consent to the use of your data for personalized AI-powered marketing services. This may include receiving a marketing score, automated recommendations, or interactive tools tailored to your submissions. You may withdraw this consent at any time by contacting us, though doing so may limit your access to certain features of the platform.

End User License Agreement
  1. By downloading, accessing, or using any documents, guides, templates, or tools provided by Spotlight (“Licensed Materials”), you agree to this End User License Agreement (EULA).

  2. Licensed Materials are licensed, not sold. Spotlight grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the materials for personal or internal business purposes only.

  3. You may not reproduce, distribute, sell, lease, sublicense, or publicly display any Licensed Materials without express written permission from Spotlight.

  4. You may not reverse engineer, decompile, disassemble, or modify the Licensed Materials or create derivative works thereof.

  5. All intellectual property rights in the Licensed Materials remain the sole property of Spotlight. This license does not convey any title or ownership interest.

  6. Violation of these terms may result in immediate termination of your license, legal action, and removal of access to your account or platform.

  7. Spotlight makes no warranties, express or implied, regarding the suitability or fitness of the Licensed Materials for any particular purpose. Use is at your own risk.

Spotlight's Intellectual Property
  1. All rights, title, and interest in and to Spotlight’s services, content, platform architecture, algorithms, scoring frameworks, downloadable tools, design elements, training materials, brand assets, and all associated intellectual property (“Company IP”) are and shall remain the exclusive property of Spotlight or its licensors.

  2. Subject to your compliance with these Terms and full payment of any applicable fees, Spotlight grants you a limited, non-exclusive, non-transferable, non-sublicensable, and fully revocable license to use our platform and resources solely for their intended business and educational purposes.

  3. These Terms do not convey any rights or interest in or to Spotlight’s intellectual property beyond the limited license expressly granted above. Nothing shall be construed as an assignment, transfer, or waiver of Spotlight’s intellectual property rights under any law.

  4. You agree not to copy, reverse engineer, modify, or distribute any part of Spotlight’s proprietary systems, documents, frameworks, or interfaces without prior written consent.

Communications and Marketing Consent
  1. By creating an account with Spotlight Marketing Solutions, LLC, you expressly consent to receive electronic communications from us, including newsletters, marketing emails, service updates, transactional messages, and promotional offers.

  2. You may update your communication preferences or unsubscribe from marketing messages at any time by following the instructions included in our emails or contacting us directly.

    • Seeking legal remedies and damages;

    • Reporting you to law enforcement authorities, if warranted.

  2. You agree to indemnify, defend, and hold harmless Spotlight, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with:

    • Your access to or use of our services;

    • Your violation of these Terms;

    • Your violation of any rights of another party, including intellectual property rights;

    • Your provision of false or misleading information.

  3. We reserve the right to investigate violations of these Terms and pursue legal action if necessary. Spotlight may cooperate with legal authorities and third parties in the investigation of any suspected or alleged crime or civil wrongdoing.

  4. We may also take action without notice and without liability to you if we determine, in our sole discretion, that your conduct is harmful to our interests, other users, or third parties, or that it violates applicable laws or regulations.

General Provisions
  1. Modifications to Terms: Spotlight reserves the right to update or modify these Terms at any time. We will provide notice of material changes by updating the effective date and, where required, seeking renewed consent. Continued use of the services after changes constitutes acceptance.

  2. Severability: If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

  3. Waiver: No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or any other term. Any failure of Spotlight to assert a right or provision shall not constitute a waiver of such right or provision.

  5. Entire Agreement: These Terms constitute the entire agreement between you and Spotlight with respect to your use of the services and supersede all prior agreements, understandings, representations, and warranties, both written and oral.

  6. Governing Law: These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
